Responsibilities

Description

The Commercial Legal team manages the full lifecycle of PowerSchool’s commercial agreements, supporting transactions with customers, vendors, and partners while enabling the business to move efficiently and responsibly manage risk.

 

This role sits at the intersection of commercial contracting, data privacy, and business enablement. As a Senior Contracts Analyst, you will play a key role in supporting high-impact business relationships while helping strengthen PowerSchool’s approach to contracting, compliance, and risk management.

 

You will partner closely with legal, sales, procurement, and compliance teams to review and negotiate agreements, support contracting processes, and contribute to global privacy and regulatory initiatives. This is a highly collaborative and visible role that offers exposure to complex commercial transactions and evolving privacy considerations in a technology environment.

What You’ll Do

  • Serve as a primary point of contact for commercial legal requests, triaging priorities and escalating complex issues as needed
  • Own the review, drafting, and negotiation of a high volume of commercial agreements, ensuring alignment with business goals while mitigating risk
  • Review and edit sales and renewal quotes to ensure contractual and commercial consistency
  • Partner cross-functionally with stakeholders in Sales, Procurement, Compliance, and Legal to resolve contractual and business issues efficiently
  • Prepare clear, practical contractual responses to requests for proposals (RFPs) and requests for information (RFIs)
  • Identify risks and recommend commercially practical solutions in collaboration with attorneys and senior team members
  • Support contract lifecycle management processes, including maintaining templates, extracting key terms, and managing executed agreements within contract systems
  • Contribute to improvements in contracting workflows, templates, and processes to increase efficiency and scalability
  • Support privacy and regulatory compliance efforts by identifying and addressing data protection and information security considerations in agreements
  • Take on additional responsibilities and projects that support the Legal team’s strategic objectives

Qualifications

Minimum Qualifications

  • 3–5 years of experience drafting, reviewing, and negotiating commercial agreements in a law firm or in-house legal environment
  • Bachelor’s degree or equivalent practical experience
  • Proven ability to independently manage a high volume of commercial contracts, including:
    • Master Services Agreements (MSAs) and professional services agreements
    • SaaS and software license agreements
    • Statements of Work (SOWs)
    • Non-disclosure agreements (NDAs)
    • Partnership, procurement, and vendor agreements
    • At least one of the following privacy certifications: CIPT, CIPP (any jurisdiction), CIPM, or AIGP
    • Strong analytical and problem-solving skills, with the ability to identify risks and propose practical solutions
    • Excellent written and verbal communication skills, with the ability to collaborate across functions and levels
    • Strong attention to detail and ability to manage multiple priorities in a fast-paced environment
    • Experience identifying basic privacy and information security issues in commercial agreements

Preferred Qualifications

  • Experience with technology contracting, particularly in SaaS or software environments
  • Working knowledge of data privacy laws and privacy-related agreements
  • Familiarity with intellectual property and technology licensing concepts
  • Experience negotiating service level agreements (SLAs) or agreements involving emerging technologies such as AI
  • Experience with contract lifecycle management tools and systems (e.g., Salesforce, CLM platforms, Jira, Fresh Service, Coupa)
  • Law or paralegal degree or certification

A reasonable estimate of the base compensation range for this position is $93,600 - $117,000 USD. This compensation range is specific to the United States and it incorporates many factors including but not limited to an applicant's skills and prior relevant experience and training; licensures, degrees, and certifications; internal equity; internal pay ranges; and market data/range parameters.
