Responsibilities

Description

The Commercial Legal team manages the full lifecycle of PowerSchool’s commercial agreements, supporting transactions with customers, vendors, and partners while enabling the business to move efficiently and responsibly manage risk.

 

This role sits at the intersection of commercial contracting, revenue generation,  and business enablement. As a Senior Contracts Administrator, you will play a key role in supporting high-impact business relationships while helping strengthen PowerSchool’s approach to contracting, compliance, and risk management.

 

You will partner closely with North America Sales, Renewal Operations, Customer Success, Order Management, Finance, compliance and multiple other internal teams to review and negotiate agreements and support North America sales and renewal contracting processes. This is a highly collaborative and visible role that offers exposure to complex commercial transactions and evolving privacy considerations in a technology environment.

What You’ll Do

  • Serve as a vital member on the company’s legal team primarily responsible for providing legal assistance and counseling to support North America sales and renewals. This includes triaging issues, establishing priorities and escalating complex issues to the Attorney Lead as needed in support of these functions.
  • Own the review, drafting, and negotiation of a high volume of commercial agreements, ensuring alignment with business goals while mitigating risk.
  • Identify risks and recommend commercially practical solutions in collaboration with attorneys and senior team members, including identifying operational, legal, business and information privacy and security risks in agreements.
  • Review and prepare contractual and legal responses to Requests for Proposal (RFPs) and Requests for Information (RFIs) as needed.
  • Support the integration of acquired companies’ commercial agreements, as needed.
  • Identify, evaluate, and resolve both routine and complex business issues through collaboration with crossfunctional stakeholders.
  • Support contract lifecycle management processes, including maintaining templates, extracting key terms, and managing executed agreements within contract systems.
  • Contribute to improvements in contracting workflows, templates, and processes to increase efficiency and scalability.
  • Perform other duties as assigned by supervising attorney or Chief Legal Officer to support Legal Department’s strategic objectives.

Qualifications

Minimum Qualifications

  • Minimum 6+ years of relevant professional experience in contract drafting, negotiation, and administration, preferably with a privately held company, publicly traded company, and/or top law firm.
  • Bachelor’s degree or equivalent experience; additional experience may be substituted for an advanced degree.
  • Demonstrated ability to independently and confidently draft and negotiate, with minimal supervision, a high volume of commercial agreements of varying complexity under time constraints, including:
  • Master services and professional services agreements
    • SaaS and software license agreements, including service level agreements (SLAs)
    • Statements of work
    • Partnership, reseller, distribution, strategic alliance, procurement, and vendor agreements
    • Non-disclosure agreements (NDAs)
  • Proven ability to manage stakeholder and customer escalations and to resolve issues effectively and pragmatically
  • Solid understanding of intellectual property concepts and technology licensing, with experience in the software industry.
  • Strong analytical skills with the ability to identify material legal and business issues, assess risk, and recommend practical solutions.
  • Excellent written and verbal communication skills, including the ability to clearly summarize complex issues and risks.
  • Strong organizational skills, attention to detail, and the ability to manage multiple priorities and deadlines in a fastpaced environment.
  • Ability to identify basic data privacy and information security issues.
  • Prior experience working in a highvolume, highimpact, high-velocity contracting environment with customers, vendors, partners, and other third parties.
  • Ability to come into the office 3 desiganted days a week (Tues-Wed-Thurs).

Preferred Qualifications

  • Experience working with government entities or municipalities.
  • Experience negotiating service level agreements (SLAs) and agreements involving artificial intelligence or emerging technologies.
  • Working knowledge of data privacy laws and experience negotiating data protection and privacyrelated agreements.
  • Familiarity with intellectual property and technology licensing concepts
  • Experience with integration projects post-acquisition
  • Experience with contract lifecycle management tools and systems (e.g., Salesforce, CLM platforms, Jira, Fresh Service, Coupa).
  • Law or paralegal degree certification.

A reasonable estimate of the base compensation range for this position is $88,000 - $110,000 USD. This compensation range is specific to the United States and it incorporates many factors including but not limited to an applicant's skills and prior relevant experience and training; licensures, degrees, and certifications; internal equity; internal pay ranges; and market data/range parameters.
